Administration and fiduciary mentoring
Ownership Solutions provides financial management and trust secretarial services to schemes. We have the experience and capacity to implement the correct corporate governance procedures, and have expertise in the communication of the scheme to fiduciaries and beneficiaries, as well as the management of participant expectations.
Financial and Beneficiary Account Management
We provide a full financial management and administration service that includes the preparation of statutory annual financial reports as well as managing the full beneficiary register. This includes monthly scheme reports and annual beneficiary statements and certificates. Our chartered accountant will prepare an annual IFRS 2 report to be presented to the company.
Trust Secretarial Services
Our company assists with the full secretarial function of a scheme, this includes meeting rosters, agendas, taking of minutes, and preparing and submitting company and trust statutory documents to the relevant authorities. We believe it is important to train and build capacity amongst the fiduciaries of the scheme, and provide different levels of corporate governance training courses that are particularly geared to achieve this.
After having implemented and advised on over thirty Employee Share Ownership Schemes to a wide range of clients, including some of South Africa’s leading corporates, Ownership Solutions is unique among administration service providers in that it has a strong advisory competency and an in-depth understanding of the functioning of such schemes.
Our in-house experts are experienced in:
- Scheme design and corporate finance;
- Human resource and stakeholder management;
- Trust law and secretarial matters;
- BEE provisions and requirements
- Administration; and
- International financial reporting standards for share based payments (IFRS 2).
We are therefore able to provide suitable consultants to assist with your unique needs and, where necessary, advise on scheme matters that arise.
We offer training that is very practical in nature and is aimed at people without director or trustee experience, as well as those with an elementary understanding of corporate governance and the proper functioning of a board. It is designed to give the members confidence to fulfil their fiduciary responsibilities.
The topics covered are:
- Overview of the scheme;
- Responsibilities and obligations of a director and trustee;
- The role of the board;
- Practicalities of managing and running a board meeting;
- Basic financial literacy;
- Design of initiatives to drive shared growth; and
- Design of initiatives to maximise participant buy-in.
